Terms of Business

Welcome to Halynce Advisory Pte. Ltd. (“Halynce Advisory”, “we”, “us”, or “our”). These Terms of Business set out the basis upon which we provide our professional services, including accounting, taxation, corporate secretarial, incorporation, and related advisory services in Singapore.
By engaging our services or using our website, you agree to these Terms of Business.
1. Scope of Services
Halynce Advisory provides professional services including but not limited to:
Company incorporation and registration with the Accounting and Corporate Regulatory Authority (ACRA)
Accounting, bookkeeping, and corporate tax filing services
GST registration and reporting
Annual return filing and compliance services
Corporate secretarial support, including maintenance of statutory registers, board resolutions, and shareholder documentation
Financial consulting and advisory
We may update our scope of services periodically. Any additional services will be subject to separate written agreements or proposals.
2. Engagement and Commencement
- Our engagement with you will begin upon your written acceptance of our quotation, proposal, or engagement letter, or upon your confirmation by email or payment of our invoice.
- We reserve the right to decline or terminate an engagement if we determine that it would create a conflict of interest, contravene regulations, or compromise our professional standards.
3. Fees and Payment Terms
(a) Company Incorporation Services
Full payment is required upfront prior to commencement of incorporation work.
(b) Accounting and Bookkeeping Services
Fees are based on a monthly or recurring retainer, payable in advance or as stated in the engagement agreement. Additional work outside the agreed scope may incur separate charges.
(c) Corporate Secretarial Services
Corporate secretarial fees are billed on an annual basis and are payable upfront upon renewal.
(d) General Terms
- Invoices are due within 30 days of issue unless otherwise agreed in writing. Interest may be charged on overdue invoices at a rate of 5% per month.
- We reserve the right to suspend or withhold services, filings, or document releases in the event of non-payment.
4. Client Responsibilities
You agree to:
- Provide complete, accurate, and timely information necessary for us to perform our services.
- Respond promptly to requests for clarification or supporting documents.
- Ensure all documents submitted to regulatory authorities are signed and approved by authorised personnel.
We are not responsible for delays, penalties, or losses arising from incomplete or inaccurate information provided by you.
5. Confidentiality
We maintain strict confidentiality over all client information. We will not disclose or use your information except:
- As required by law or regulatory authorities,
- With your prior written consent, or
- As reasonably necessary to perform our engagement (for example, with government agencies or our trusted service partners).
All our employees and consultants are bound by professional confidentiality obligations.
6. Data Protection (PDPA Compliance)
- Halynce Advisory complies with the Personal Data Protection Act 2012 (Singapore).
- We collect, use, and store personal data solely for legitimate business purposes, including client onboarding (KYC), invoicing, and regulatory compliance.

7. Limitation of Liability
- Our liability for any loss, damage, or expense arising from our services shall not exceed the total fees paid for the engagement giving rise to the claim.
- We shall not be liable for any indirect, incidental, or consequential loss (including loss of profits, data, or goodwill) arising in connection with our services.
- Nothing in these Terms limits our liability for fraud, wilful misconduct, or other liabilities that cannot be excluded under Singapore law.
8. Professional Standards
Halynce Advisory and its representatives perform their work with reasonable skill, care, and diligence consistent with professional accounting and corporate service provider standards in Singapore.
9. Termination
- Either party may terminate an engagement by giving 30 days' written notice.
- We may also terminate immediately if you fail to pay outstanding fees, breach these Terms, or engage in activities contrary to applicable laws or regulations.
- Upon termination, you remain liable for all fees up to the termination date.
10. Use of Third Parties and Partners
- We may, with your consent, engage third-party partners or affiliates (for example, legal, audit, or sourcing providers) to perform specialised tasks.
- For corporate sourcing or vendor procurement services, separate partner terms (such as those of Carl.sg) shall apply.
11. Intellectual Property
- All documents, templates, and materials created by Halynce Advisory remain our intellectual property unless otherwise agreed in writing.
- You are granted a non-exclusive, non-transferable licence to use the deliverables solely for your internal business purposes.
12. Governing Law and Jurisdiction
- These Terms are governed by the laws of the Republic of Singapore.
- Any dispute shall be resolved amicably in the first instance. If not resolved, it shall be referred to the exclusive jurisdiction of the Singapore courts.
13. Amendments
- We may update these Terms of Business from time to time to reflect regulatory changes or improvements in our services.
- The latest version will always be available on our website and shall take effect immediately upon publication.
